Update: Corporation and Non-Profit Solicitations

The Department of the Secretary of State posted a news article entitled “Secretary of State warns of scams targeting Maine notaries, marriage officiants, corporations, and nonprofits” on October 10, 2025. This article identifies in an ongoing problem that Maine corporations and non-profits have dealt with in recent years from entities operating under various names requesting payment for annual report filing.

This article highlights that there is a misleading solicitation currently being sent to corporations and non-profits that is offering to file annual reports on your behalf for a fee. This solicitation is from an organization that has been identified as C.F.S. Please note that while it looks similar to the Maine Secretary of State Department’s Division of Corporations’ annual report form, it is not authorized or recognized by the State.

In recent weeks our office has fielded numerous calls from clients questioning this solicitation and inquiring about the status of their entity. Again this year, the solicitation appears to be coming from C.F.S. We urge caution and advise you not to pay the fee being requested.

For entities who utilize Bergen & Parkinson, LLC as their clerk/registered agent, please be aware that we file your annual report for you. The 2026 annual report will not be available until January 2026 and our office will not be reaching out to you relating to your 2026 annual filings until around March 2026.
